Looks (and acts) like a server remote management card or maybe a service
processor.  Something like this one: http://www.amcuk.com/200series.html.

If you can get into the http or telnet service, it would have different OOB
management options (reboot, etc.).  It might be specific to a particular
server line, however (i.e. you might not get any useful function dropping it
in a Dell or HP).

That's my guess, anyway.
