Do you have MacOS Virtual Memory turned OFF?  It sounds like either VM
or RAMdoubler is on.  If you do, you should turn off both.

Also, I recommend you get the latest snapshot instead of the official
1.2 release.  68040 support didn't quite make it into 1.2, as I
remember (correct me if I'm wrong).
