Ok, this turned out to be a few problems.  Thanks tcpdump & wireshark.  
I had to lower the NFS_BOOT_RWSIZE  as the default 32k seems to  timeout 
on this usb ethernet dongle.  I then saw repeated accesses to 
/dev/console and /dev/constty so I just made them regular files and saw 
init complaining about being able to open the controlling tty for 
console.  Well I don't really have a /dev/console working. :)  So I 
commented out that check and booted with the new binary in place.  This 
got me into my xbox.

Now I need to get the rest of the issues sorted.
