I have found a similar problem with a motherboard with an on board Realtek. I forced the other pci devices to 
use any irq other than the one used by the realtek and found that the watchdog timeout errors went away 
and the 8139 functioned OK. 

Unfortunately this meant that I could not use 2 PCI slots for cards using interrupts!
