     I had a similar problem with mine.  Are you booting into the SRM
console and you get an error like "Incompatible PCI device in slot
X?"  It might be because you have your 32-bit Matrox Millenium II
card in a 64-bit PCI slot (the long bottom two).  Try moving it up
to a 32-bit PCI slot.  That fixed the problem for me.
