I just build it from pkgsrc (HEAD) on a amd64 machine. No "netbsd32_compat40" 
was needed. Funny enough I just realized that the grub binary itself is 32bit:

vmware03# pkg_info -L grub
Information for grub-0.97nb8:


vmware03# file /usr/pkg/sbin/grub
/usr/pkg/sbin/grub: ELF 32-bit LSB executable, Intel 80386, version 1 (SYSV),

vmware03# uname -a
NetBSD vmware03.physik.uni-wuppertal.de 5.0_STABLE NetBSD 5.0_STABLE 
(XEN3_DOM0.th) #1: Thu Jan 28 15:26:01 CET 2010  

BTW: cpus = -1 didn't work for me:

vmware03# xm create -c nbsd                                                    
Using config file "/usr/pkg/etc/xen/nbsd".
Warning: The nics option is deprecated.  Please use an empty vif entry instead:

  vif = [ '' ]

Error: cpus = -1: invalid literal for int() with base 10: ''

Ok.. I'll have a look into the docs and try to send you a diff against the xml, 
although I have never used xml yet. ;)
