I found my problem I needed to add '-a' to my boot command.

and if anyone is interested I built my install disk on my
VAX 4000/vlc under VMS7.2, and it booted on my DECStation 5000/200

to build a pmax boot disk under VMS

$init dka300:  system
$mount/for dka300:
$ copy diskimage dka300
$ dismount dka300:

that was it, moved the HD over to the 5000 and booted
