My guess is that you don't have any phy's in your kernel.  Is this
GENERIC, or is this a custom kernel?  Do you have any lines in your
dmesg that look like:

nsphy0 at sm0 phy 1: DP83840 10/100 media interface, rev. 0
nsphy0: 10baseT, 100baseTX, auto
