ok.. found half of the problem... yay!... anyway... it was the chat
script... it expected to recieve login: and it got my connection speed
instead 19200 and it kept sending ^M's so... i made it expect 19200 and
it worx somewhat... now after i login it tells my modem to hangup... the
exact( well almost exact) line is 

"Modem hangup"
"Exit"
