I find this is an interesting question.

Why is TNF incorporated in Delaware?

Was one of the incorporators living there at the time, or were there
another reasons? I know a lot of for-profit corporations incorporate
there, but i have heard conflicting reasons why.  According to this
article:

 Also, why does the developer agreement declare that it is to be governed
by the laws of the State if NY? (Especially when it's incoroporated
in a different U.S. state, Delaware?)

  laws of the State of New York, USA.  Each party to this Agreement
  submits to the non-exclusive jurisdiction of the state or federal courts
  in New York.
