According to Groklaw, the agreement is dated 4 Feb 1994.

Accordint to the NetBSD mailing list archives, the message from TLS is
dated 21 December 1993.

 Could you elaborate on your assertion that TLS "[was not] around
to talk about it when it was signed," or comment on the veracity of the
sources above?
